Intellectual Property

1. Ownership of Deliverables

Asterolabs owns everything it produces in delivering its Automation + AI and Cybersecurity services, including but not limited to:

• Automations and software: source code, algorithms, integrations, architecture, prompts, configurations, and all technology underlying the automations Asterolabs develops and operates.
• Tools and frameworks: libraries, reusable components, methodologies, templates, and internal tools used to deliver the services.
• Cybersecurity reports and deliverables: the methodology, format, and technical content Asterolabs produces (excluding the client data they contain).
• Brand: the "Asterolabs" name, its logos, icons, and visual identity.
• Original content: text, materials, and documentation Asterolabs produces.

Engaging the services does not transfer ownership of this technology, tooling, or know-how to the client; it remains with Asterolabs.

2. Right of Use and Continuity

Although Asterolabs owns the deliverables, a client that engages and pays for the service is guaranteed the right to use and benefit from the result while the service is active and paid, consistent with the Terms of Service.

• Automation + AI: while the retainer is current, Asterolabs keeps the automation live, hosted on its infrastructure, and available to the client. Asterolabs cannot unilaterally discontinue a service the client is funding.
• Continuity ends only in the cases set out in the Terms: client non-payment or refusal of the annual retainer adjustment, plus the other termination cases.
• Cybersecurity: the client receives and may use internally the reports and recommendations from the contracted package, for its own business purposes.

3. Client Data and Inputs

The client retains ownership of the data, content, and inputs it provides to deliver the service (for example, business data, databases, credentials, and materials).

• Asterolabs accesses and processes these inputs solely to deliver the contracted service, as a personal-data processor, per the Privacy Policy.
• Asterolabs does not use client data for its own marketing or to train general-purpose AI models.
• The client is responsible for ensuring it holds the rights and authorizations over the inputs it provides and the access it grants.

4. Restrictions

Without Asterolabs' prior express authorization, the client and third parties may not:

• Copy, reproduce, redistribute, sublicense, resell, or commercialize the automations, tools, frameworks, or code Asterolabs produces.
• Reverse engineer, decompile, or attempt to extract the technology underlying the deliverables, except as permitted by law.
• Use Asterolabs' brand, logos, or visual identity without written authorization.
• Remove or obscure ownership and copyright notices from the deliverables.

5. Confidentiality

Asterolabs undertakes to keep confidential all confidential information it accesses during engagements — including code, credentials, business data, and strategic information — especially in cybersecurity work.

• Confidential information is not disclosed to third parties, except as required by law or with the client's express consent.
• Asterolabs staff and partners with access to client information are bound by equivalent confidentiality obligations.
• Confidentiality obligations survive the end of the contractual relationship.

6. Violations

In the event of a violation of Asterolabs' intellectual property rights, Asterolabs may:

• Formally notify and request that the violation stop.
• Suspend or terminate the service in the event of a material violation.
• Pursue applicable legal remedies, including damages.
